Terms of Service

1. Acceptance of Terms and Eligibility

You accept these Terms by affirmatively checking the agreement box at checkout, clicking a button such as "Purchase," "Pay Now," or "I Agree," or otherwise accessing or using the Service after receiving notice of these Terms. You represent that: you are at least 18 years old or the age of legal majority where you live; you have legal capacity to enter into a binding agreement; the information you provide to us is accurate and complete; and if you purchase the Service for a business, you have authority to bind that business to these Terms. If you do not meet these requirements, you may not purchase or use the Service.

2. Description of the Service

The Service is a digital software tool that provides immediate access to customized A+ Content and related materials intended to help authors present their books professionally on Amazon sales pages. The Service may include templates, text, layouts, recommendations, graphics, files, software functionality, and other digital materials. The exact features and deliverables may change over time, but we will provide the features and access described at the time of your purchase. The Service is not affiliated with, sponsored by, or endorsed by Amazon.com, Inc. or its affiliates. "Amazon" and related marks are the property of their respective owners. We do not guarantee that any A+ Content will be approved by Amazon, remain approved, comply with every Amazon policy, improve sales or rankings, or produce any particular business result. You are responsible for reviewing the content and ensuring that your final submission complies with Amazon's current requirements.

3. Account and Access

You may be required to create an account or provide an email address to access the Service. You are responsible for keeping your login credentials confidential; all activity under your account; providing accurate account and billing information; and promptly notifying us of unauthorized access or suspected security issues. Access is intended for the individual or business that purchased the Service. You may not share your account credentials or permit unrelated third parties to use the Service. We may modify, suspend, or discontinue features of the Service. We will not materially reduce the core functionality purchased by you without providing reasonable notice where practicable.

4. License Grant

Subject to your payment of all applicable fees and compliance with these Terms, A Plus Author Studio grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service (including the software tool) for your personal or internal business purposes solely to generate customized A+ Content for your own books and Amazon listings; and review and download the customized A+ Content generated for you through the Service.

4.1 Ownership of Output (Customized A+ Content)

As between you and A Plus Author Studio, you own the customized A+ Content generated for you through the Service that is delivered to or exported by you as an output of the Service ("Output"), excluding any A Plus Author Studio materials incorporated into the Output as described below. You may use, reproduce, modify, adapt, and submit the Output freely for your own Amazon sales pages and related marketing of your own books.

4.2 Ownership of the Service and Studio Materials

TKSchneids LLC, doing business as A Plus Author Studio, retains all right, title, and interest in and to the Service and all underlying software, source or object code, underlying technology, systems, prompts, workflows, templates, designs, methods, documentation, and any names, logos, trademarks, and branding (collectively, "Studio Materials"). No ownership rights in the Studio Materials are transferred to you. To the extent any Studio Materials are included in or necessary to use the Output, you receive only a limited, non-exclusive license to use those Studio Materials solely as embedded in the Output for the uses permitted by these Terms, and not for any standalone use, resale, or redistribution. You may provide access to a contractor, employee, editor, or other service provider solely to assist with your own Amazon listing, provided that the person uses the Service and Output only for that purpose and does not resell, redistribute, or commercially exploit the Service or Studio Materials. If you receive a refund, or if your license is terminated because of a violation of these Terms, your license to access and use the Service ends. Your ownership of Output you already generated is not affected, but you must stop using the Service and, where reasonably practicable, remove any refunded or improperly used Output from active listings.

5. Customer Materials

You may submit book information, text, images, logos, cover files, author information, and other materials to the Service ("Customer Materials"). You retain ownership of your original Customer Materials. You grant A Plus Author Studio a non-exclusive, worldwide, royalty-free license to host, reproduce, process, modify, and use Customer Materials as reasonably necessary to provide, maintain, secure, and improve the Service. You represent and warrant that you own or have permission to use the Customer Materials; your Customer Materials do not infringe another person's intellectual property, privacy, publicity, or other rights; your Customer Materials are not unlawful, defamatory, fraudulent, or harmful; and your Customer Materials comply with Amazon's applicable content requirements. You are responsible for maintaining backup copies of your Customer Materials.

6. Fees and Payment

The price for the Service is $199 USD, unless a different price is clearly displayed and accepted at checkout. Applicable taxes or other mandatory charges, if any, will be disclosed at checkout. The purchase price is a one-time fee unless the checkout page expressly states otherwise. No recurring subscription or renewal charge will apply unless you separately agree to one. Payments may be processed by third-party payment providers, including Stripe, Systeme.io, Klarna, or other providers made available at checkout. By submitting payment information, you authorize the applicable provider to process the transaction. If you use a buy-now-pay-later or installment option, including Klarna, you may enter into a separate financing or payment agreement with that provider. That provider's terms, disclosures, eligibility requirements, fees, interest, installment schedule, and account procedures may apply to your payment arrangement. A Plus Author Studio does not control a third-party provider's approval decisions, financing terms, payment schedule, account administration, or processing timelines. You are responsible for reviewing and complying with the applicable provider's terms.

7. Third-Party Services and API Keys (Anthropic and OpenAI)

The Service may require you to connect or use third-party services, including large language model providers such as Anthropic and OpenAI ("Third-Party Services"). To use certain features, you may be required to create and maintain your own accounts with those Third-Party Services and provide your own API keys, access tokens, or similar credentials ("API Keys"). You are solely responsible for obtaining and maintaining your Third-Party Services accounts and API Keys; keeping your API Keys secure and confidential; complying with all applicable terms, policies, and usage requirements of Anthropic and OpenAI; and paying all fees, usage charges, overage fees, taxes, or other amounts billed by Anthropic, OpenAI, or any other Third-Party Service provider in connection with your use of their services. The $199 USD purchase price covers only the Service provided by A Plus Author Studio and does not include any Third-Party Service fees, usage costs, or charges associated with your API Keys. Third-Party Services are not controlled by A Plus Author Studio. We do not guarantee and are not responsible for the availability, uptime, performance, outputs, security, pricing, billing practices, or any changes to Third-Party Services (including any changes that may affect features, compatibility, or results). TO THE MAXIMUM EXTENT PERMITTED BY LAW, A PLUS AUTHOR STUDIO IS NOT LIABLE FOR ANY THIRD-PARTY FEES OR CHARGES INCURRED BY YOU, INCLUDING ANY CHARGES RESULTING FROM YOUR USE OF API KEYS OR THIRD-PARTY SERVICES, WHETHER AUTHORIZED OR UNAUTHORIZED.

8. Refund Policy and Seven-Day Satisfaction Guarantee

8.1 Seven-Day Guarantee

We offer a seven-day satisfaction guarantee measured from the original purchase date. If you are not satisfied with the Service, you may request a full refund within seven calendar days of the original purchase date. The purchase date is considered Day 1. Your request must be received by the end of the seventh calendar day. The guarantee applies to the original purchaser and the original transaction. It is not transferable. Ordinary access, testing, viewing, or reasonable evaluation of the Service will not by itself disqualify you from requesting a refund.

8.2 How to Request a Refund

Please include your name, purchase email address, order number, and the date of purchase. You do not need to provide a detailed explanation of your dissatisfaction, although we may ask for information reasonably necessary to locate the transaction or evaluate suspected fraud or abuse. We will confirm receipt of an eligible request and, after approval, initiate the refund generally within 10 business days. The timing for the refund to appear in your account depends on your bank, card issuer, or payment provider.

8.3 Original Payment Method and Third-Party Providers

Approved refunds will be returned to the original payment method used for the purchase. We generally cannot send a refund to a different card, account, person, or payment method. If you paid through Klarna or another buy-now-pay-later or installment provider: we will submit an approved refund through the applicable payment system; the provider may apply the refund first to any outstanding balance; any remaining amount may be returned to you by the provider; the provider may adjust, cancel, or continue scheduled payments according to its own procedures; and the provider's processing rules and timelines may affect when the refund is reflected in your account. You should review the provider's terms and contact the provider directly regarding installment schedules, account balances, interest, fees, or the posting of a refund. Do not assume that submitting a refund request automatically pauses a scheduled payment.

8.4 Requests After Seven Days

Except where required by applicable law, refunds are not available after the seven-day satisfaction-guarantee period. Nothing in this policy limits any non-waivable consumer rights, remedies for fraud or unauthorized charges, or rights that cannot lawfully be waived or restricted.

8.5 Limited Anti-Abuse Protections

The satisfaction guarantee is intended to allow a customer to evaluate the Service in good faith. It is not intended to permit a person to obtain and retain the substantial benefits of the Service without payment. We may deny or limit a refund when we have a reasonable, good-faith basis to believe that the request involves fraud, misuse, or abuse, including: use of false, misleading, or unauthorized payment or account information; circumvention of access controls, usage limits, or security measures; downloading, exporting, copying, publishing, commercially using, or distributing a complete or substantial set of customized A+ Content before requesting a refund; obtaining and using the principal commercial benefit of the Service before requesting a refund; repeated purchase-and-refund activity involving the same person, business, payment method, device, or related accounts; sharing or transferring access in violation of these Terms; requesting a refund after reselling, redistributing, or commercially exploiting the Service or A+ Content; or other conduct reasonably indicating an attempt to obtain the Service or its benefits without paying for them. We will not deny a legitimate, timely refund request merely because you accessed or tested the Service in a reasonable manner. If we deny a refund under this section, we may provide a brief explanation, subject to security, privacy, fraud-prevention, and legal considerations.

9. Intellectual Property

9.1 Ownership of the Service and Studio Materials

The Service and all related intellectual property are owned by or licensed to A Plus Author Studio (TKSchneids LLC, d/b/a A Plus Author Studio). This includes, without limitation: software and source or object code; the underlying technology and functionality of the Service; templates, workflows, systems, processes, prompts, and methods; designs, layouts, graphics, and visual elements; documentation and instructional materials; written content and content structures created by A Plus Author Studio; names, logos, trademarks, and branding. Except for the limited license expressly granted in these Terms to access and use the Service, no rights are transferred to you. You may not copy, sell, license, sublicense, publish, distribute, reverse engineer, modify for resale, or create competing products from the Service or its underlying materials.

9.2 Customer Ownership and Permitted Use of Output

As between you and A Plus Author Studio, you own the customized A+ Content generated for you through the Service that is delivered to or exported by you as an output of the Service ("Output"). For clarity, this does not transfer ownership of the Service itself or any underlying software, underlying technology, templates, methods, logos, trademarks, or branding used to generate the Output. You may freely use, copy, reproduce, modify, adapt, edit (including in third-party tools such as Canva), create derivative works from, publish, and submit the Output for your own Amazon sales pages and related marketing of your own books.

9.3 Feedback

Feedback, suggestions, or ideas you provide about the Service may be used by A Plus Author Studio without compensation or restriction, provided that we do not disclose your confidential Customer Materials in a manner that identifies you without permission.

10. Acceptable Use and Restrictions

You may not: resell, rent, lease, sublicense, share, or redistribute the Service or customized A+ Content; use the Service to create deliverables for unrelated third parties or competing services; share account credentials or permit unauthorized access; copy or extract the Service's underlying code, templates, prompts, systems, or methods; attempt to discover source code or bypass technical restrictions; scrape, harvest, download in bulk, or systematically reproduce content; upload malware, malicious code, or material that interferes with the Service; use the Service for unlawful, fraudulent, deceptive, defamatory, or abusive purposes; infringe or misappropriate another person's rights; use the Service to violate Amazon's policies or another platform's rules; or interfere with the security, operation, or availability of the Service.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL A+ CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." A PLUS AUTHOR STUDIO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. We do not warrant that: the Service will meet every individual preference or business objective; the Service will be continuously available or free from errors; A+ Content will be accepted, approved, or retained by Amazon; the Service or A+ Content will increase book sales, rankings, traffic, or revenue; the Service will be compatible with every device, browser, software system, or Amazon account; or the information or recommendations provided through the Service constitute legal, tax, financial, or professional advice. You are responsible for reviewing all materials before publishing or using them and for obtaining professional advice when appropriate. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, A PLUS AUTHOR STUDIO AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, DATA, OR CONTENT ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (1) THE AMOUNT YOU PAID TO US FOR THE SERVICE GIVING RISE TO THE CLAIM; OR (2) $199 USD. These limitations do not apply to liability that cannot lawfully be limited or excluded, including liability for fraud, willful misconduct, or other liability that applicable law prohibits us from limiting.

13. Indemnification

You agree to defend, indemnify, and hold harmless A Plus Author Studio and its owners, officers, employees, contractors, licensors, and service providers from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: your breach of these Terms; your misuse of the Service or A+ Content; your Customer Materials; your violation of another person's rights; your violation of Amazon's policies or applicable law; or your fraud, negligence, or intentional misconduct. We will provide reasonably prompt notice of an indemnified claim and may participate in the defense. You may not settle a claim in a manner that admits fault by or imposes obligations on us without our prior written consent.

14. Termination and Suspension

You may stop using the Service at any time. We may suspend or terminate your access if we reasonably believe that you breached these Terms; engaged in fraud, misuse, or abusive conduct; created a security or operational risk; used the Service unlawfully; or failed to pay amounts owed. Termination or suspension does not eliminate obligations that arose before termination. Sections concerning payment, intellectual property, acceptable use, disclaimers, limitation of liability, indemnification, governing law, and dispute-related rights will survive termination. If your access is terminated for a violation of these Terms, you are not entitled to a refund unless required by law.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles. Subject to any rights that cannot lawfully be waived, any legal action arising out of or relating to these Terms or the Service must be brought in a state or federal court located in Oregon. You consent to the jurisdiction and venue of those courts.

16. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted at the Terms of Service URL with a revised "Last Updated" date. Changes will apply to future purchases and future use of the Service. Unless otherwise required by law, the version of the Terms accepted at the time of your purchase will govern that transaction. If a material change affects an ongoing relationship, we will provide reasonable notice where practicable.

17. Electronic Communications and Records

You agree to receive communications from us electronically, including purchase confirmations, account notices, support communications, policy updates, and other notices related to the Service. You may retain or print a copy of these Terms and any purchase records. Electronic records and affirmative electronic acceptance will have the same effect as a signed paper agreement to the extent permitted by applicable law.

18. General Terms

These Terms, together with any linked policies expressly incorporated into them, constitute the entire agreement between you and A Plus Author Studio concerning the Service. If any provision is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, reorganization, sale of assets, or similar transaction. These Terms do not create a partnership, joint venture, agency, employment, or franchise relationship between you and A Plus Author Studio.
